Terms & Conditions Custom lighting • Fabrication • Finishes

01 Orders, Deposits & Payment A 50% deposit is required to initiate all orders and begin procurement, CAD development, fabrication, or production unless otherwise agreed to in writing by Diospri Lighting Inc. (“Diospri Lighting”). The remaining balance must be paid in full before release, pickup, shipment, or delivery of any completed merchandise. Products will not be released until all outstanding balances associated with the order have been received and cleared. If a Purchase Order is manufactured or completed in sections, phases, or partial quantities, payment is due for all items that have been completed by Diospri Lighting Inc., even if the entire Purchase Order has not yet been completed. Completed items will not be released until payment for those completed items has been received and cleared by Diospri Lighting Inc. Custom orders are final and non-cancellable once approved and/or production has commenced, subject to applicable law. Cancellations, returns, exchanges, or credits will not be accepted unless authorized in writing by Diospri Lighting. An approved cancellation may be subject to costs already incurred for design, engineering, materials, labor, outside services, or other order-related expenses. Estimates converted into official Purchase Orders must receive the required deposit/payment within 2.5 weeks of acceptance. If payment is not received within this period, pricing may be reviewed and adjusted for changes in material, labor, vendor, freight, tariff, or other production-related costs.

02 Quotes & Pricing All quotations are valid for 20 calendar days from the date issued unless otherwise stated. Pricing is based on the specifications, quantities, dimensions, materials, finishes, and scope provided at quotation. Subsequent changes to the approved scope may require revised pricing. Additional work or modifications requested after approval are not included unless specifically stated in writing.

03 Lead Times Standard estimated production lead time is approximately 10-12 weeks, unless otherwise stated on the estimate, invoice, or Purchase Order. Lead times begin only after Diospri Lighting receives all items necessary to proceed: required deposit/payment; final approved CAD/shop drawings; approved finish/control samples; confirmed dimensions and specifications; client-supplied materials (COM/COL) and components; and all other information or approvals required for fabrication. Lead times are estimates and may be affected by custom materials, specialty glass, plating, powder coating, outside vendors, client revisions, delayed approvals, material availability, freight delays, or circumstances outside Diospri Lighting’s reasonable control. Changes after CAD, finishes, samples, dimensions, or specifications are approved may affect pricing and the production schedule.

04 CAD, Drawings & Client Approvals The client should carefully review all CAD drawings, shop drawings, dimensions, specifications, finish samples, and other approval documents before approval. Written approval authorizes Diospri Lighting to proceed based on the information shown or identified in those documents. The client is responsible for verifying field and overall dimensions, mounting conditions, electrical locations, ceiling conditions, clearances, and site-specific requirements before approval and fabrication, unless Diospri Lighting expressly agrees in writing to perform field verification. Changes after approval may require additional drafting, engineering, materials, fabrication, refinishing, or labor, with additional charges and/or a revised completion date.

05 Custom & Hand-Fabricated Products Diospri Lighting specializes in custom and hand-fabricated products. Minor variations in dimensions, symmetry, texture, fabrication marks, welds, glass, materials, and other characteristics may occur as part of custom fabrication. These characteristics are not automatically defects when inherent to the material, fabrication method, or handmade nature of the product and when they do not materially impair its intended function. This provision does not excuse genuine manufacturing defects or material departures from approved specifications.

06 Finishes & Approved Samples All custom and hand-applied finishes may exhibit natural variations in color, tone, sheen, texture, highlights, patina, oxidation, brush pattern, metallic movement, and overall appearance. Approved samples establish the general color, finish, and aesthetic direction; they do not guarantee that every finished surface or individual piece will be visually identical. Appearance may vary with the underlying metal, surface preparation, application method, lighting, viewing angle, surrounding colors, and sheen. Printed color charts, photographs, digital images, screens, and manufacturer color books are reference materials only. Final approval should be based on the physical finish sample whenever provided. A change in color, sheen, texture, or finishing method after sample approval or the start of production may require additional charges and lead time.

07 Exterior, Wet & Damp Location Finishes Exterior and wet/damp-location finishes are exposed to conditions that naturally affect appearance over time, including moisture, humidity, UV exposure, temperature changes, salt air, coastal conditions, chemicals, and pollutants. Unless expressly stated otherwise in writing, Diospri Lighting does not warrant against natural oxidation, patina development, fading, discoloration, corrosion, spotting, or other finish changes caused by environmental exposure, improper maintenance, cleaning products, installation conditions, or normal weathering, to the extent permitted by applicable law. Coastal and oceanfront installations may experience accelerated deterioration. This exclusion does not eliminate rights relating to genuine manufacturing defects.

08 Glass & Natural Materials Hand-blown, cast, and other handmade glass may vary in dimensions, thickness, shape, color, texture, bubbles, seeds, flow lines, tooling marks, and other characteristics inherent to fabrication. Natural materials, including stone, leather, wood, parchment, hide, and other organic materials, may vary in color, grain, texture, thickness, pattern, and appearance. Reasonable inherent variations form part of their natural and handcrafted character; they do not excuse genuine defects or material departures from approved specifications.

09 Client-Supplied Materials & Components Diospri Lighting is not responsible for defects, inconsistencies, dimensional variations, compatibility issues, shortages, performance issues, or failures inherent in materials or components supplied by the client, designer, contractor, or another third-party vendor, to the extent permitted by law. Modification, adaptation, repair, or additional fabrication beyond the original scope may incur additional charges. Diospri Lighting cannot guarantee the performance or longevity of third-party components it did not manufacture. This provision does not exclude responsibility for Diospri Lighting’s own defective workmanship or other obligations that cannot lawfully be excluded.

10 Shipping, Freight & Transfer of Responsibility Shipping, packing, crating, freight, insurance, white-glove delivery, and related services are not included unless specifically identified in the quotation or invoice. Unless otherwise expressly agreed in writing, the client selects or authorizes the freight, packing, shipping, courier, or transportation company and is responsible for arranging appropriate services and considering cargo/freight insurance. Once merchandise leaves Diospri Lighting’s premises and is released to the client-selected or client-authorized provider, custody and responsibility for subsequent handling and transportation transfer to that provider and/or the client, and risk of transit loss or damage passes to the client, to the extent permitted by applicable law and the agreed shipping arrangement. For direct client pickup, custody and responsibility transfer to the client upon receipt and departure from the premises. To the extent permitted by law, Diospri Lighting is not responsible for loss, theft, breakage, scratching, denting, finish damage, mishandling, improper storage, delay, or other damage caused after release by transportation, handling, or other subsequent events. Carrier liability remains subject to the applicable transportation agreement and law. Transit loss or damage claims must be directed to the applicable carrier, packing/shipping provider, or insurer in accordance with its claim requirements. Inspect merchandise and packaging upon delivery; photograph damage, retain packaging, document visible damage on the delivery receipt before acceptance whenever possible, and submit claims promptly. Transfer of custody does not release Diospri Lighting from responsibility for genuine manufacturing defects existing at release, its own actionable acts or omissions, or obligations that cannot be excluded under applicable law. Discovery of a defect after delivery does not, by itself, make it transit or handling damage.

11 Custom Finishes, Handling & Damage All Diospri Lighting finishes are custom and/or hand-applied and require appropriate care. Diospri Lighting does not represent, advertise, or warrant these finishes as scratch-resistant, impact-resistant, chip-resistant, abrasion-resistant, or damage-proof, unless expressly stated in writing for a particular product or finish. Scratching, striking, dropping, rubbing, scraping, denting, improper packing or handling, chemical exposure, or other physical impact can permanently affect the finish and/or underlying material. Damage may include marks, scratches, dents, discoloration, exposed substrate, changes in sheen, or other visible alterations. Damage caused after release by handling, transit, installation, impact, abrasion, cleaning products, chemicals, misuse, environmental exposure, or similar conditions is not a manufacturing defect and is not covered finish damage under any applicable Diospri Lighting finish warranty, to the extent permitted by law. Inherent custom-finish variations in color, tone, sheen, texture, highlights, patina, metallic movement, brush pattern, and aging are likewise not defects when consistent with the approved finish and its handmade character. These exclusions concern the cause of damage, not merely when it is discovered. They do not exclude genuine defects in Diospri Lighting’s materials or workmanship that existed at release, applicable express warranties, or rights and remedies that cannot lawfully be waived. Suspected manufacturing defects should be reported promptly in writing with the order reference, photographs, and a description for evaluation. These terms do not establish a new warranty duration or limit mandatory remedies.

12 Important Finish Care Notice Approval of a finish sample establishes the general aesthetic direction; no custom finish should be expected to remain unaffected by physical impact or improper handling. Handle finished surfaces carefully and follow any product-specific care instructions supplied by Diospri Lighting. Obtain guidance before using unfamiliar cleaning products or chemicals. Repair, refinishing, touch-up, or replacement requested for post-release damage may be evaluated separately. If service is available, additional labor, material, finishing, freight, and/or handling charges may apply. Such charges do not apply merely because a genuine manufacturing defect is discovered after release; applicable warranty terms and law govern that claim.

13 Rush Orders Rush production or delivery may be available depending on production capacity, material availability, and vendor schedules. All rush requests require Diospri Lighting’s written approval and are subject to an additional rush fee. A requested delivery date is not guaranteed unless Diospri Lighting expressly agrees to it in writing.

14 Installation Installation is excluded unless expressly included in the written scope of work. Products should be installed by qualified professionals familiar with the product, electrical requirements, mounting conditions, and applicable local codes. To the extent permitted by law, Diospri Lighting is not responsible for damage, modification, misalignment, electrical or structural issues, or other conditions caused by improper installation, incorrect client-provided field dimensions, site conditions, or third-party modifications after release. This does not exclude genuine manufacturing defects or Diospri Lighting’s own applicable obligations.

15 Storage & Completed Orders After notification that an order is complete and ready for pickup or shipment, the client should promptly arrange collection or delivery. If merchandise remains at Diospri Lighting for an extended period because of delayed pickup or payment, an unavailable delivery location, construction delays, or other circumstances outside Diospri Lighting’s control, storage fees may apply upon prior notice. Extended storage may also affect the anticipated shipping or delivery schedule.

16 Changes & Revisions Client-requested changes to an approved order, including dimensions, quantities, materials, finishes, electrical specifications, mounting methods, hardware, glass, or other design details, may constitute a change in scope. Diospri Lighting will advise the client of additional charges and/or production time required for a revision. Production may pause until the revised scope, pricing, and/or drawings are approved.

17 Acceptance of Terms Payment of a deposit, approval of a quotation, issuance of a Purchase Order, approval of CAD/shop drawings, or authorization to proceed constitutes acknowledgment and acceptance of these Terms & Conditions. Customers are responsible for reviewing these terms and raising any questions or requested exceptions. All exclusions and allocations of responsibility in these terms apply only to the extent permitted by applicable law. Nothing in these terms broadly disclaims all liability or all warranties, or eliminates rights relating to genuine manufacturing defects that cannot lawfully be excluded.
